We may suspend, restrict, or terminate access to the Service if we reasonably believe that a user, organisation, account, quote, invoice, document, or related activity violates this Policy.

We may require evidence of licensing, regulatory approval or compliance controls, and may suspend or restrict your account if such evidence is not provided or is insufficient.

You may not use the Service to offer, request, facilitate, conceal, record, disguise or process bribes, kickbacks, improper commissions, unlawful incentives or corrupt payments. You may not use the Service in connection with any person, organisation, country, region, product, service or transaction that is subject to applicable sanctions, embargoes, export controls, trade restrictions or anti-money-laundering laws. You are responsible for conducting any customer, supplier, partner and transaction due diligence required by law or industry practice.

7. Spam, abuse and unwanted communications

You may not use the Service to send spam, unsolicited bulk messages, deceptive messages, or unlawful marketing. Where the Service sends a quote, invoice, document link or notification to a recipient on your behalf, you remain responsible for the content, recipients, lawful basis and accuracy of that communication. If you discover a security vulnerability, you must report it responsibly to security@quotier.io and must not exploit, disclose or use it except as we permit in writing.

9. Data protection and privacy

You may not use the Service to collect, upload, process, store, share or disclose personal information unlawfully. In line with the Protection of Personal Information Act (POPIA), you agree that you will:

  1. only upload or process personal information where you have a lawful basis to do so;
  2. obtain all required consents, notices, approvals and authorisations;
  3. avoid uploading unnecessary, excessive, irrelevant or highly sensitive personal information;
  4. keep customer, supplier, employee and recipient information accurate and secure;
  5. not use personal information for unauthorised profiling, surveillance, harassment, discrimination or unlawful marketing; and
  6. not disclose confidential or personal information to unauthorised parties through quotes, invoices, document links, attachments or exports.

You remain responsible for the data you enter into the Service and for your instructions to us regarding the processing of that data. How we process personal information is described in our Privacy Policy.

10. Confidential information and third-party data

You may not upload, disclose, distribute or use confidential information unless you have the legal right and authorisation to do so, including confidential pricing, supplier or customer lists, private quotes, trade secrets, technical specifications, engineering documents, contracts, financial or procurement information, personal information, information subject to a non-disclosure agreement, or information belonging to another employer, client, supplier or competitor. You must ensure that any users you invite to your organisation are authorised to access the information you make available to them.

11. Intellectual property and content rights

You may not use the Service to upload, create, store, send or distribute content that infringes or misappropriates intellectual property or other proprietary rights, including copied catalogues, images, descriptions, drawings, specifications, logos, trademarks or documents you are not authorised to use; counterfeit product information; unauthorised branding; or copyrighted products used without permission. You represent that you own or have the necessary rights, licences and consents for all content, documents, data, branding, logos and product information you upload to or generate through the Service.

12. Quote, invoice, pricing and commercial data

When you use the Service to create or manage quotes and invoices, all commercial information must be accurate, authorised and lawful. You may not:

  1. knowingly enter false product data, pricing, tax or VAT information, discounts, customer information, delivery terms, warranty terms or payment terms;
  2. manipulate pricing, discounts or approval workflows without authorisation;
  3. create fake quotes, fake customers, fake suppliers or fictitious quote or invoice histories;
  4. use the Service to conceal unauthorised side deals, kickbacks or improper commissions;
  5. represent a quote as approved, accepted, binding or final when it is not;
  6. remove, alter or obscure quote or invoice terms, disclaimers, expiry dates, conditions or approval requirements; or
  7. create documents that falsely suggest endorsement, certification, partnership or authorisation by a third party.

You are responsible for verifying all quote and invoice information before you send it to a customer, supplier, partner or recipient.

Invoicing integrity - lawful invoices only

Quotier lets you issue invoices and VAT tax invoices to your own customers. These are financial and, where applicable, tax documents, and you must use them honestly. You may not use the Service to:

  1. create, issue or send any false, fictitious, inflated, duplicated, back-dated, fraudulent or otherwise illegal invoice;
  2. invoice for goods or services that were not genuinely supplied, or were supplied to a different value, quantity or party than stated;
  3. issue a tax invoice that misstates VAT, misrepresents your VAT-registration or tax status, or claims VAT you are not entitled to charge;
  4. use invoices to launder money, evade or facilitate the evasion of tax, or disguise bribes, kickbacks or other unlawful or corrupt payments;
  5. use invoices to defraud, overcharge or deceive your own customers, or to demand payment you know is not properly due;
  6. impersonate another supplier, or issue invoices on behalf of a business you are not authorised to represent; or
  7. alter, delete, or manipulate issued invoices, invoice numbering, payment records or audit trails to misrepresent what occurred.

Every invoice you create through the Service must reflect a real, lawful commercial transaction between you and the customer named on it. You are solely responsible for the legality, accuracy and tax treatment of the invoices you issue, and for meeting your own record-keeping and reporting obligations (for example to SARS). Quotier issues these documents on your instruction; it does not verify the underlying transaction, and is not the supplier of the goods or services you invoice.

13. APIs, integrations and connected systems

If the Service offers, or you use it with, third-party systems, APIs, payment systems, email systems or other integrations, you agree to use them lawfully, securely and only as authorised. You may not connect systems you are not authorised to access; extract, sync or modify data without permission; abuse APIs, webhooks, tokens or credentials; bypass third-party usage limits or security controls; send malicious, malformed or excessive requests; use an integration to access another organisation's data; or store third-party credentials insecurely. You are responsible for the security of any credentials, keys, tokens and connected accounts.

14. Account security and user management

You are responsible for all activity under your account, organisation, users and credentials. You agree to provide accurate account and organisation information; keep login credentials confidential and secure; use strong passwords and appropriate authentication; promptly remove users who no longer need access; assign appropriate roles and permissions; monitor for unauthorised or suspicious activity; and notify us promptly if you suspect unauthorised access or credential compromise. You may not share a single login between multiple people except as your subscription or agreement expressly permits.

15. Resource usage, fair use and platform abuse

You may not use the Service in a way that imposes an unreasonable, excessive or abusive load on our infrastructure or that harms other users. Prohibited conduct includes, without limitation: excessive automated quote or invoice generation; abusive API usage; high-volume scraping, importing or exporting outside normal business use; repeatedly uploading large files or documents in a way that degrades performance; using the Service as a general file-storage, backup, bulk-messaging or data-mining platform; circumventing subscription, usage, rate or storage limits or billing controls; creating multiple accounts to evade restrictions, fees, suspensions or enforcement; or reselling, sublicensing or providing unauthorised access to the Service. We may apply usage limits, throttling, rate limits, storage limits or other technical restrictions to protect the Service.

16. Prohibited content

You may not upload, create, store, send, display or distribute content through the Service that is unlawful, fraudulent or deceptive; defamatory, abusive, threatening, harassing, hateful or discriminatory; obscene, exploitative or harmful to minors; violent, extremist or promoting unlawful harm; infringing or violating third-party rights; malicious or designed to compromise systems; invasive of privacy or confidentiality; false or misleading about products, pricing, warranties, taxes, approvals or legal compliance; or likely to expose Quotier, its customers or third parties to legal, regulatory, reputational or operational risk. We may remove or restrict access to content we reasonably believe violates this Policy.

17. Competition, benchmarking and reverse engineering

Except where the law expressly permits, you may not reverse engineer, decompile, disassemble or attempt to derive the source code, architecture or underlying technology of the Service; copy, replicate or benchmark it to build or improve a competing product; use automated tools to extract its features, workflows, screens, pricing logic or user experience; or remove, obscure or alter our proprietary notices.

18. Resale and unauthorised commercial use

You may not resell, lease, sublicense, white-label, distribute or otherwise commercially exploit the Service, or provide access to it to third parties, unless we authorise it in writing. You may not operate a service bureau, managed service, outsourcing platform or competing quote- or invoice-management offering on behalf of third parties unless your agreement permits it.

19. Use by minors

The Service is intended for business and professional use. You may not allow minors to access or use the Service except where the law permits and the relevant organisation authorises it, and you may not use the Service to collect personal information from minors except where you have a lawful basis and all required consents.

20. Compliance with laws

You are responsible for complying with all laws and regulations that apply to your use of the Service, including those relating to contracts and electronic transactions; consumer protection; privacy and data protection; anti-spam and electronic communications; taxation, VAT and invoicing; import, export, customs and sanctions; anti-bribery, anti-corruption and anti-money-laundering; product safety, certification and warranties; employment and procurement; intellectual property; and regulated goods and services. We are not responsible for determining whether your products, services, quotes, invoices, transactions, recipients or business activities comply with applicable law.

21. Monitoring and investigation

We are not obliged to monitor all use of the Service, but we may investigate suspected violations of this Policy. Where the law and our agreements permit, we may review account activity, metadata, logs, usage patterns and reports; request information or documentation from you; restrict, suspend or terminate access; remove, disable or restrict access to content; throttle or block abusive traffic; disable integrations, keys, tokens or user accounts; preserve information where legally required; and report unlawful conduct to regulators, law enforcement or affected parties where appropriate or legally required.

22. Enforcement

If we reasonably believe you have violated this Policy, we may act with or without prior notice, depending on the severity, urgency and risk. Enforcement actions may include a warning; a request for corrective action; removing or restricting content; disabling quotes, invoices, document links, integrations or API access; applying rate or usage limits; suspending users, accounts or organisations; terminating access; refusing future access; notifying affected parties; and reporting suspected illegal conduct to the competent authorities. We are not liable for losses resulting from enforcement actions taken in good faith to protect the Service, our customers, third parties or legal compliance.

23. Reporting violations

If you become aware of any actual or suspected violation of this Policy, including security incidents, unauthorised access, illegal activity, fraud, or misuse of the Service, please notify us promptly at abuse@quotier.io (or, for security vulnerabilities, security@quotier.io). Please include the relevant details: the account, organisation, quote, invoice, user, recipient, link, date, a description of the issue, and any supporting evidence.

24. Changes to this Policy

We may update this Policy from time to time to reflect changes in the Service, legal requirements, security practices or acceptable-use standards. The updated version takes effect when posted, unless a later effective date is stated. Continued use of the Service after the effective date means you accept the updated Policy.
